ESSENTIAL DUTIES AND RESPONSIBILITIES 1) Investigates facts with business contacts to gather information and documents 2) Prepares routine documents such as: administrative filings, draft agreements, corporate books and records. General: 1) Initiate file for incoming confidentiality agreement and conduct a background check to identify other agreements with same party. 2) Track and review responses from key business personnel regarding new initiatives to identify any potential conflicts among Baxter’s business groups. 3) Track the processing and approval of justification forms and confidentiality agreements to obtain the appropriate approvals and to meet the required deadline. 4) For Baxter template agreements, identify the applicable version of the template and prepare the initial draft of the agreement. 5) Manage tickler system and follow up communications to business personnel regarding Baxter’s contractual obligations 6) Manage OFAC renewals, filing and processes. Also coordinate the OFAC submissions with the commercial functions and trade compliance. 7) Assist in the organization of records received in response to due diligence requests, discovery requests. 8) Maintain and advise on policies and procedures related to: document retention, denied parties lists, updates on substantive policy manuals, Export Compliance. 9) Monitor websites for privacy compliance. 10) Support in the Legal Induction for the new joiners 11) Support in taking minutes of the Ethics and Compliance Committees. 12) Operate Securimate and obtain review and approval followup from different functions. Corporate: 1) Conduct legal research; 2) Assist in the preparation of legal documents, such as: articles of incorporation, bylaws, resolutions, minutes, subsidiary stock certificates, officer certifications, qualifications, withdrawals, mergers, and dissolutions; 3) Learn the use of corporate data bases; and 4) Provide information to domestic and international business units and tax departments and other corporate functions. 5) Support in the Company secretary work, including legalization, notarization and filling of legal documents. 6) Help in organizing the legal database. 7) Take minutes of important meetings and following up on important legal action items. JOB REQUIREMENTS Education/Experience Typically 4 years of college with a legal educational background and at least 2 years of legal experience or contract manager experience. Skills Ability to create action plans and execute procedures and processes to support Legal Counsel MEA. General understanding of legal environment and resources. Ability to work closely with others within and outside of the organization to gather information from diverse groups and collate, summarize and organize information. Attention to detail. Ability to work independently on repetitive tasks. Ability to work well under a team structure Must have basic knowledge of word processing programs to be able to understand data base systems. Well-developed communication skills, both written and verbal, and good research and analytical skills. Ability to prioritize workload and meet deadlines.
